These Terms & Conditions (“Terms”) govern your access to and use of the Elixeo.AI website, consultations, services, tools, and communications (collectively, the “Services”). By accessing or using our Services, you agree to these Terms.

1) Services overview

Elixeo.AI provides AI consulting, automation strategy, AI-powered communication solutions, and educational services for businesses. We do not provide legal, financial, accounting, or medical advice.

2) Eligibility

You must be at least 18 years old and able to form a binding agreement to use the Services.

3) Acceptable use

You are responsible for your own compliance requirements, including permissions, consent, and recordkeeping (e.g., SMS policies and opt-in logs) as required by law.

You will not misuse, disrupt, scrape, hack, or attempt unauthorized access to the website or systems.

You will not use the Services for unlawful, deceptive, abusive, or harmful purposes.

You will not attempt to reverse engineer, resell, or copy-protected content without written permission.

4) Consultations and recommendations

Any consultation, demo, audit, strategy, or recommendation is provided for informational purposes. Outcomes depend on your business, implementation, market conditions, and third-party platform availability. We do not guarantee specific results, performance, revenue, or rankings.

5) AI and automation limitations

AI outputs may be inaccurate or incomplete and must be reviewed by a human before use. Automated systems can be impacted by data quality, integrations, outages, and third-party changes. You are responsible for reviewing and approving any messages, workflows, or outputs before deploying them.

6) Payments and refunds (if applicable)

If you purchase paid services, pricing, scope, and payment terms will be disclosed before purchase. Fees are non-refundable unless a written refund policy applies to your specific offer.

6A) Subscription billing, usage charges, and auto-recharge

By purchasing or subscribing to Elixio.AI services, you authorize Elixio.AI to charge the payment method on file for all applicable fees, including recurring subscription fees, prepaid usage credit, usage-based charges, and any applicable automatic usage-credit reloads.

Certain Elixio.AI services include usage-based billing for communication services such as phone minutes, SMS, MMS, email, and certain premium automation actions. These charges are separate from the monthly subscription fee and are billed based on actual usage.

At signup, Elixio.AI may apply an initial prepaid usage credit to activate communication services. This prepaid usage credit is separate from the subscription price and may be reloaded automatically if auto-recharge is enabled for the account.

You are responsible for keeping a valid payment method on file and ensuring sufficient available funds for subscription charges, prepaid usage credit, and any usage-based charges.

If a payment method is declined, expired, blocked, disputed, reversed, or otherwise fails, Elixio.AI may suspend, restrict, or interrupt some or all Services until billing is successfully restored.

Elixio.AI is not responsible for missed calls, failed messages, delayed communications, lost leads, lost business opportunities, service interruptions, or other losses resulting from failed payments, depleted prepaid usage credit, processor issues, or invalid billing information.

Recurring charges, usage-based charges, and cancellation terms will be presented at or before checkout. By completing your purchase, you provide express authorization for those charges in accordance with the applicable billing terms.

You may cancel recurring subscription charges in accordance with the cancellation instructions provided at checkout, in your account, or by contacting Elixio.AI support; cancellation will stop future recurring subscription charges, but accrued usage-based charges and unpaid balances remain due.

7) Intellectual property

The website content, branding, text, graphics, logos, videos, and materials are owned by Elixeo.AI or its licensors and are protected by intellectual property laws. You may not use our branding or content without written permission.

8) Third-party tools and links

Our Services may link to or integrate with third-party products (such as CRM, SMS, email, analytics, or AI providers). We are not responsible for third-party terms, policies, content, or availability.

9) Disclaimer of warranties

The Services are provided “as is” and “as available” to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

10) Limitation of liability

To the maximum extent permitted by law, Elixio.AI shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of revenue, loss of profits, loss of business opportunities, loss of leads, loss of communications, or business interruption, arising out of or related to the Services, billing issues, payment failures, account suspension, third-party platform outages, or prepaid usage credit depletion, even if advised of the possibility of such damages.

11) Indemnification

You agree to indemnify and hold harmless Elixeo.AI from claims, damages, liabilities, and expenses arising from your use of the Services, your content, or your violation of these Terms.

12) Termination

We may suspend or terminate access to the Services at any time if we reasonably believe you violated these Terms or used the Services in a harmful or unlawful manner.
We may also suspend or limit Services for nonpayment, failed billing, or inability to maintain required prepaid usage credit balances.

13) Governing law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

14) Changes to these Terms

We may update these Terms from time to time. Changes become effective when posted on this page with an updated effective date.
